Hodgson Principal Investments, or HPI, is the principal-investment activity of Hodgson Capital. It invests the firm's own capital and is not presented as a third-party fund.

Our advisory background informs how we assess entry, structure alignment, support ownership decisions and plan for eventual liquidity. We invest only where the role is useful and the investment thesis is specific.

01 / Take-private

Separating businesses with different strategic needs.

In 2019, Ethos Mid Market Fund I and Apex Partners acquired Torre Industries and delisted it from the JSE. The public offer represented a 44.67% premium to the 30-day volume-weighted average price at 7 November 2018.

The stated rationale was to separate businesses with limited synergies and give them distinct capital structures, leadership and strategic priorities. The analytical-services businesses were retained by the Ethos fund and the industrial businesses by Apex.

02 / Hodgson Capital role

From transaction execution to principal ownership.

Hodgson Capital was involved in originating and executing the take-private. Following completion, the firm co-invested in Synerlytic alongside Ethos Mid Market Fund I, whose management team later became Infinite Partners.

Synerlytic brought together specialist testing and analytical businesses including WearCheck, AMIS and Set Point Laboratories. Hodgson Capital remained a principal investor through the ownership period and the 2024 realisations.

03 / Two distinct realisations

Matching each platform with an owner suited to its next phase.

June 2024

The Particle Group

The Particle Group left Synerlytic through a management buyout backed by Admaius and management. The new ownership supported its organic and acquisition-led growth plans.

Effective 1 July 2024

WearCheck and Synerlytic

Bidvest acquired the remaining Synerlytic group, centred on WearCheck and WearCheck Water Laboratories, for R784 million. The acquisition gave Bidvest a scaled entry into testing, inspection and certification.

Outcome

Focused ownership and successful liquidity events.

The two realisations matched each platform with an owner suited to its next phase and completed successful liquidity events for the selling shareholders.
